Key Insights

  • The Anthropic IPO filing reports $16.3B in first-half revenue, up from $1.2B a year earlier.
  • Net loss hit $80.7B, largely due to noncash convertible-debt adjustments.
  • Seven co-founders will control 50.1% of voting power; the trust appoints most of the board.

The Anthropic IPO entered the public filing stage Monday. It gave investors their first public view of the company’s financial and governance plans. The Anthropic IPO filing is a Form S-1 submitted to the U.S. Securities and Exchange Commission. The company plans to list on Nasdaq under the ticker ANT. It has not disclosed the number of shares, proposed price range, offering proceeds, or exact listing date.

Anthropic reported $16.3 billion in first-half 2026 revenue, compared with $1.2 billion in the same period last year. Its filing also disclosed an $80.7 billion net loss and a founder voting arrangement that would give seven co-founders majority control.

Anthropic IPO Filing Reports Revenue Growth and Large Losses

The Anthropic IPO filing reports $16.3 billion in revenue for the six months ended June 30, 2026. Revenue for the same period in 2025 was $1.2 billion.

Anthropic recorded a $693 million operating loss in the first half of 2026. That was down from $2.1 billion a year earlier. Its net loss, however, reached $80.7 billion. The filing attributes most of that loss to noncash accounting adjustments tied to convertible debt.

Anthropic warned in its filing that it “may not achieve or sustain profitability in the future.” The company reported $112.4 billion in cash and $19.3 billion in short-term investments as of June 30.

Anthropic IPO Filing Shows the Scale of Enterprise Demand

The filing says more than 11,900 customers generated at least $100,000 in trailing-12-month revenue as of September 30. More than 1,900 generated $1 million or more, while about 250 reached $10 million or more.

Anthropic, the company behind the Claude AI chatbot, disclosed these customer tiers alongside its revenue results. AI news coverage linked its 2026 expansion to Claude Code and its Fable 5 and Mythos 5 models.

The company has been competing with OpenAI and Google while facing criticism over safety, regulation, and national security. Reports describe two recent disputes between Anthropic and the U.S. government.

Founder Voting Control Shapes Anthropic’s Planned Public Listing

Seven co-founders will form the Founder LLC, according to the S-1. The group includes Dario Amodei, Daniela Amodei, Tom Brown, and Jack Clark. It also includes Jared Kaplan, Sam McCandlish, and Christopher Olah. Together, they will control 50.1% of shareholder voting power after the public listing. Anthropic says the arrangement is intended to preserve its AI safety mission.

The Long-Term Benefit Trust, established in 2023, will have authority to appoint most of Anthropic’s board. The filing’s governance structure gives voting power that is not proportional to the founders’ economic ownership. Public shareholders may therefore have limited practical influence over company decisions.

The filing also says Anthropic’s technology poses “catastrophic or existential risks to humanity.” The company links its founder voting structure and benefit trust to its public benefit and safety mission.

Anthropic has not disclosed its proposed share price, share count, fundraising target, or listing date. Separate Wall Street expectations place its valuation between $1.5 trillion and $2 trillion. They put a potential IPO raise at up to $100 million. Those expectations remain separate from the offering details disclosed by Anthropic.

Coverage compares the planned listing with SpaceX, whose $1.77 trillion valuation was the previous record. SpaceX raised $85.7 billion in June, the largest IPO on record. The market backdrop has been volatile. The Nasdaq fell nearly 700 points, or 2.6%, in one session last week as AI concerns weighed on investor sentiment. CoreWeave and Nebius shares lost more than 30% in October amid rising credit concerns across data centers.
