In a significant move to strengthen stablecoin infrastructure, Binance has acquired a $100 million equity stake in Circle, marking the beginning of an extensive five-year strategic collaboration.

The transaction saw Circle distribute 1,237,011 Class A shares to the crypto exchange giant at $80.84 apiece via private placement completed on September 17. This pricing represented a markdown compared to Circle’s trading value prior to deal closure.

Trading on the New York Stock Exchange, Circle’s equity experienced an uptick of over 1.3% during premarket hours Tuesday, following Monday’s closing price of $94.29.

The private placement structure means these shares weren’t publicly registered, creating limitations on Binance’s resale options without proper registration or qualifying exemptions.

The exchange has committed to a prohibition on selling, transferring, pledging, or hedging these holdings for as long as two years. This lockup period could conclude earlier should Binance choose to terminate the commercial arrangement under specified circumstances. Throughout this restriction period, Binance maintains full voting authority.

Partnership Terms and Structure

The commercial arrangement stipulates that Circle will provide Binance with recurring monthly incentive payments. These fees are determined by a percentage calculation based on USDC balances maintained through Circle’s Modular Smart Contract Wallet infrastructure.

Binance’s obligations include executing promotional campaigns for USDC across its ecosystem. This fresh agreement supersedes previous arrangements between the parties dated November 2024 and August 2025.

Both organizations retain termination rights allowing early exit from the five-year commitment under predetermined circumstances.

Binance co-CEO Richard Teng characterized the investment as demonstrating enduring dedication. “Access to a stable, reliable digital dollar shouldn’t be reserved for the privileged few. It should reach anyone holding a smartphone,” Teng commented.

Circle Leadership Perspective

Jeremy Allaire, Circle’s co-founder and chief executive, emphasized the partnership’s potential to democratize dollar-denominated financial infrastructure globally.

“Binance has constructed one of the planet’s largest and most vibrant ecosystems for digital currency utilization,” Allaire stated.

Allaire further noted that both organizations identify significant potential for USDC deployment in broadening dollar accessibility and facilitating savings and investment opportunities throughout developing economies worldwide.

This alliance unites two industry heavyweights in the cryptocurrency sector. Binance ranks among the globe’s premier crypto trading platforms by volume. Circle stands as a frontrunner in stablecoin issuance.

By market capitalization metrics, USDC holds the position as the second-largest stablecoin. This strategic partnership aims to accelerate adoption throughout Binance’s exchange platform and wallet ecosystem.

Circle’s operating subsidiaries executed the commercial agreements. The equity transaction reached completion immediately following the finalization of those commercial terms.
