Binance has invested $100 million in Circle while renewing their commercial agreement for five years. The companies said the deal will focus on increasing USDC access across emerging markets. Binance will promote and integrate USDC, while Circle will provide infrastructure supporting how users hold and use the stablecoin.

Binance Takes Equity Stake in Circle

The investment gives Binance an equity position in Circle through a private placement of Class A common stock. Binance bought the shares at a price reflecting a 5% discount to Circle’s market price before closing.

However, Binance agreed not to transfer the shares for up to two years after closing. The restriction remains subject to customary exceptions.

The companies also renewed their commercial relationship for another five years. Under the agreement, Binance will increase USDC promotion, awareness and integration across its platform.

New Agreement Targets Emerging Markets

The renewed partnership focuses on emerging markets. Binance will handle broader USDC promotion and integration, while Circle will supply infrastructure services. Circle CEO Jeremy Allaire said the companies see opportunities to use USDC for dollar access, savings and investment products. 

He also cited its use among people and businesses in emerging markets. Meanwhile, Binance co-CEO Richard Teng described the investment and five-year agreement as a long-term commitment. 

He also referenced Circle’s USDC, Arc and infrastructure operations. The deal combines an equity investment with a commercial agreement. Both companies disclosed the two parts together as an expansion of their partnership.

Allaire and Teng Outline Partnership

Allaire said Binance operates one of the largest platforms for digital currency use. He also described it as a major wallet for dollar stablecoins. Teng said Circle spans USDC, Arc and infrastructure for cross-border value transfers. 

He linked the investment and renewed agreement to wider access to digital dollars. According to the companies, Circle will continue providing infrastructure for holding and using USDC. 

Binance, meanwhile, will expand USDC promotion and integration across its platform. The agreement covers five years, while the investment totals $100 million. The equity purchase also includes the two-year transfer restriction disclosed by Binance and Circle.
