Canton Strategic Holdings (NASDAQ: CNTN), the company that holds Canton Coin ($CC) as part of its strategy to support the Canton Network (@CantonNetwork), has completed the first tokenized US stock trade under the SEC's Innovation Exemption. The trade took place on November 4, 2026.

Details of the First Trade

Five North sold roughly 14,461 CNTN shares to DRW Cumberland. Flowdesk facilitated the transaction through a Tradecraft automated market maker (AMM) pool. The trade was worth about $30,296, which works out to around $2.08 per share.

Fairmint handled issuance and maintains the official onchain ownership register. The tokenized shares carry the same economic and voting rights as Nasdaq-listed CNTN shares.

According to Odaily, as relayed by KuCoin News, the trade was settled atomically on the Canton Network through a permissioned pool on the Tradecraft AMM protocol. Crypto Briefing noted that an AMM trade executes against a pool of liquidity priced by an algorithm rather than waiting for a matching buyer. It also described the trade as a test run, not a market shift, given its size.

The SEC Framework Behind It

The SEC issued the Innovation Exemption on September 17, 2026. According to a legal summary of the order, it grants temporary, conditional relief under Section 36(a)(1) of the Exchange Act for the onchain trading of tokenized National Market System (NMS) stock. It allows qualifying Tokenized Securities Venues (TSVs) to bring together buyers and sellers through permissioned AMM liquidity pools without registering as exchanges.

Reports on the order say it runs for five years, and that venues must verify tokenized securities carry the same rights and privileges as the traditional securities. Issuers of the underlying stock must also receive written notice and an opportunity to object.

In an earlier company filing, Canton Strategic Holdings said holders of its issuer-sponsored tokenized shares would receive the same rights and privileges as those holding the stock through Nasdaq. TSV LLC, the venue used for the trade, describes itself in that filing as the first Tokenized Securities Venue to complete the SEC's Innovation Exemption process. Details are in the company's Form 8-K exhibit.

Because the issuer took part directly, the structure differs from tokenized products that offer only synthetic exposure to a stock. The order's definition of tokenized NMS stock excludes securities that provide synthetic exposure to an underlying security, according to the legal summary of the exemption.

The trade is small, but it shows the exemption working in practice with an issuer, a market maker and institutional counterparties on both sides.
