Tarbert Offloads Shares Through Pre-Arranged Trading Plan

Circle Internet Group ($CRCL) president Heath Tarbert has sold approximately $30.8 million worth of CRCL shares across 10 transactions since the company's IPO in June 2025, according to SEC filings. The sales included a mix of open-market stock disposals and option exercises.

The transactions were carried out under a Rule 10b5-1 trading plan, a pre-arranged programme that allows corporate insiders to sell shares on a set schedule, reducing the significance of transaction timing. Such plans are pre-scheduled rather than opportunistic, a distinction that analysts and investors typically factor in when assessing insider activity.

Among the larger disclosed sales, Tarbert sold 122,007 shares under a 10b5-1 plan on March 2, 2026, at weighted average prices generally in the low-to-mid $90s per share. He also reported open-market sales of 39,240 shares on June 10, 2026, with sale prices ranging from about $78.81 to $84.30.

Substantial Stake Remains, No Open Market Purchases Disclosed

Despite the volume of sales, Tarbert retains a meaningful position in the company. After the June 2026 transactions, he directly held 502,558 Class A shares, including 55,418 shares owned outright and 447,140 shares subject to outstanding restricted stock units. No open-market purchases have been disclosed.

Some of the filings also reflect routine administrative activity rather than discretionary selling. Shares were withheld by the company to meet Tarbert's tax withholding obligation related to vesting restricted stock units, a common administrative process rather than a discretionary sale decision.

Circle listed on the New York Stock Exchange on June 5, 2025. The IPO was priced at $31.00 per share.Demand from investors was strong enough to push the stock above $250 per share in short order, though the shares have since pulled back sharply. Tarbert has previously said Circle remains focused on long-term execution rather than short-term stock price moves.

Meanwhile, the broader business has continued to grow. USDC's market cap increased 72% year-over-year to $75.3 billion in 2025.
