Circle has completed a private placement of 1,237,011 Class A shares to Binance at $80.84 per share, raising $100 million in a transaction that closed on September 17. Details of the deal were disclosed in an 8-K filing on Tuesday.
Five-Year USDC Incentive Deal
Alongside the equity placement, Circle and Binance renewed and expanded their commercial partnership. Under the new five-year deal, Circle will pay Binance a monthly incentive fee, calculated as a percentage of USD Coin (USDC) balances held via Circle’s Modular Smart Contract Wallet infrastructure.
Binance, in return, will promote USDC across its platform. Both parties maintain flexibility, as either can terminate the agreement early if specific conditions are met.
This revised arrangement marks the third iteration of their cooperation within two years, replacing earlier deals from November 2024 and August 2025. The two firms first jointly announced their collaboration during Abu Dhabi Finance Week in December 2024, setting the stage for Binance to offer USDC widely across its products and to hold the stablecoin in its own treasury.
Share Lockup and Valuation Impact
As part of the agreement, Binance is restricted from selling, transferring, pledging, or hedging the newly acquired Circle shares for two years from closing or until certain commercial arrangements are terminated. Exceptions include affiliate transfers, board-approved takeovers, or sales mandated by law. Binance will retain all shareholder rights, including voting privileges, during the lockup period.
The shares were sold at a discount to Circle’s prevailing market price prior to closing, but the filing did not specify the exact margin. On September 17, Circle (CRCL) was trading in the mid-$80 range. By September 21, the stock closed at $94.49, bringing the value of Binance’s stake to approximately $116.9 million—$16.9 million above its purchase price. However, Binance cannot realize these gains during the lockup period. Over the past year, CRCL remains down about 34%, while the S&P 500 rose 16.5% within the same period.
Paying for distribution is how USDC has always reached users. Coinbase, which co-founded the stablecoin, has taken half the interest earned on its reserves. Compass Point analysts began coverage of Circle at neutral in June 2025, citing the firm’s reliance on crypto-native distribution partners.
Circle’s Arc Launch and Industry Developments
The closing of the deal closely followed Circle’s launch of Arc, a Layer 1 blockchain network supported by founding validators including BlackRock, DTCC, and Visa. USDC serves as the gas token for the Arc network, and Binance is among the exchanges offering access to it.
Circle’s approach to user growth remains focused on paid distribution. With Binance now directly holding equity, it joins Coinbase as a core distribution partner also financially linked to Circle.
