From BitLicense to Fiduciary Trust
@Circle ($CRCL) has secured a limited-purpose trust charter from the New York Department of Financial Services (NYDFS) for a new entity called Circle New York Trust. The move represents a meaningful step up from the BitLicense framework under which Circle has operated since 2015, when it became the first company to receive a BitLicense from the NYDFS. A fiduciary trust structure subjects the entity to the same rigorous oversight applied to traditional New York trust companies, significantly raising the regulatory bar for $USDC.
The NYDFS charter does not stand alone. According to documents published by the U.S. Office of the Comptroller of the Currency (OCC), Circle Group plans to transition responsibility for issuing USDC to the New York limited-purpose trust company once it is established, with the federally chartered Circle National Trust then managing USDC reserves and performing collateral trustee services on a fiduciary basis for USDC holders. Circle received full OCC approval for Circle National Trust in July 2026, making it one of the first crypto firms to complete that federal charter process.

Together, the NYDFS trust charter and the federal OCC approval give Circle a layered regulatory foundation that few crypto firms have achieved, reinforcing its positioning as it pushes deeper into institutional blockchain infrastructure.
