Datavault AI (DVLT) shares fell 8.66% to $0.1519 after the company approved a rights offering worth up to $125 million. The stock dropped sharply during morning trading and moved near its intraday low. The financing plan will offer common and preferred units to eligible existing security holders.

Datavault AI Board Approves Rights Offering

Datavault AI’s board approved the rights offering and selected October 9, 2026, as the record date. Eligible holders will receive transferable subscription rights based on their holdings on that date. Moody Capital Solutions will act as the dealer manager for the planned transaction.

Shareholders will receive one Common Unit subscription right for every common share they own. They will also receive one Preferred Unit right for every 100 common shares held. Certain other security holders with contractual participation rights will also qualify for the distribution.

The company expects the subscription period to run for approximately 18 trading days after the offering begins. The board retains the authority to extend that period if required. Datavault AI plans to use proceeds for working capital, corporate purposes, acquisitions, investments, or strategic transactions.

Common Units Could Raise Up to $50 Million

Each Common Unit will cost $0.20 and will contain one common share plus two additional purchase rights. Datavault AI expects to offer subscription rights representing up to $50 million in Common Units. The structure gives eligible holders access to additional shares through staged exercise prices.

The Series A Right will allow holders to purchase one common share at $0.25. That right will expire six months after the rights offering closes. Meanwhile, the Series B Right will carry a $0.30 exercise price and a 12-month expiration period.

Eligible holders who fully exercise their basic rights may also use an over-subscription privilege. That provision will cover Common Units left unsubscribed after other eligible holders exercise their basic rights. Datavault AI will allocate excess demand proportionally when subscriptions exceed the available Common Units.

Preferred Units Add Another $75 Million

Datavault AI also plans to offer up to three million Preferred Units priced at $25 each. The full Preferred Unit offering could therefore raise up to $75 million. Each unit will contain one preferred share and two additional rights tied to preferred shares.

The Series 1 Right will carry a $30 exercise price and expire six months after closing. The Series 2 Right will allow purchases at $35 and will expire after 12 months. Each preferred share will carry a $25 stated value and liquidation preference.

The preferred shares will pay a cumulative annual dividend of $2.10 per share. Datavault AI may pay that dividend using cash, preferred shares, or common stock under specified conditions. The preferred shares will rank above common stock but will not convert into common shares.

Datavault AI also plans to seek a Nasdaq Capital Market listing for the preferred shares. It will seek listings or quotations for the subscription rights and related purchase rights. The company has not guaranteed that those securities will receive market listings.

Preferred shareholders will vote together with common shareholders as one class on matters submitted for approval. Voting power will depend on the common shares that $25 could purchase when the dealer agreement becomes effective. The company will provide further terms through its prospectus supplement for the offering.

The financing comes as Datavault AI continues developing data monetization, credentialing, tokenization, and digital asset technologies. Management plans to use the offering to give existing holders direct participation rights rather than limiting financing access. DVLT shares remained under pressure as the market absorbed the size and structure of the proposed capital raise.
