Bonus dividend triggers activate if bitcoin trades at $180,000, $250,000 or $350,000 for 10 consecutive days, layering additional upside onto the fixed 13.5% rate
Proceeds are earmarked partly to retire existing convertible notes held by the Anson Parties, fund a dividend reserve, and support general corporate purposes that include further bitcoin acquisitions
DDC Enterprise filed a prospectus supplement with the SEC on November 4, 2026 detailing a new preferred stock offering structured to give investors both a high fixed yield and direct exposure to bitcoin price appreciation. The Series A 13.5% Perpetual Cumulative Preferred Shares are priced at $20.00 per share, carry a $25.00 stated and liquidation value, and are being offered in a minimum size of 1,200,000 shares alongside a concurrent underwritten offering of at least 200,000 additional shares, with Maxim Group LLC serving as placement agent.
The company plans to list the new preferred shares on NYSE American under the ticker “SVOR.” Beyond the standard 13.5% cumulative dividend, the offering includes bonus dividend triggers tied explicitly to bitcoin’s market price: if bitcoin trades at $180,000, $250,000, or $350,000 for 10 consecutive trading days, holders become entitled to additional dividend payments on top of the base rate, giving the security a hybrid character between a fixed-income instrument and a leveraged bet on bitcoin’s long-term price trajectory.
The filing describes several intended uses for the proceeds: up to 20% may go toward retiring existing convertible notes held by a group referred to as the Anson Parties, a portion will fund a dedicated dividend reserve to help support the preferred stock’s payment obligations, and the remainder is designated for general corporate purposes. Notably, the filing’s risk factors explicitly state that proceeds may be used for additional bitcoin purchases, extending a strategy the company has pursued since at least mid-2026.
DDC Enterprise disclosed holding approximately 2,899 bitcoin as of June 30, 2026, at an average cost of roughly $78,204 per bitcoin, giving context to how a new capital raise structured around bitcoin-price milestones fits into the company’s broader treasury strategy.
The bonus-dividend structure represents one of the more creative approaches among bitcoin treasury companies to tying investor returns directly to the asset’s price performance, rather than relying solely on share-price appreciation to reflect treasury gains. The full prospectus supplement is available on SEC EDGAR.
