@Evernorth (Nasdaq: XRPN) has lined up an equity facility of about $80 million, and part of the money could go toward buying more $XRP. The company said proceeds may be used for general corporate purposes, including acquiring XRP and developing products within the @XRP ecosystem.

The funding is not a cash injection. As Evernorth put it, "As market conditions present themselves, we intend to use some proceeds for general corporate purposes." The final amount and the timing will depend on conditions.

How the equity line works

An equity line lets a company raise money by selling shares in installments. Crypto Briefing reports that Evernorth entered into a common stock purchase agreement with CF Principal Investments LLC, an affiliate of Cantor Fitzgerald, allowing it to sell up to 5,218,935 Class A common shares.

According to CryptoSlate, an accompanying SEC prospectus estimates gross proceeds of $80.7 million, or about $78.3 million after fees and expenses, based on the October 22 closing share price of $15.46. The same report says Evernorth can direct Cantor to buy shares periodically at 97% of their volume-weighted average trading price, with management deciding when to issue stock.

The actual sum raised will depend on the number of shares sold and the prices at the time of issuance. Evernorth has also said it may pursue other equity facilities and financing arrangements to support its treasury strategy, according to Crypto Briefing.

What it means for XRP holders

The open question for XRP holders is how much of the $80 million would end up as XRP. The company has not given a split. CryptoSlate reports that Evernorth intends to put a substantial portion toward additional XRP, with the rest going to working capital, corporate expenses and ecosystem activities.

Evernorth already holds a large position. Crypto Briefing reported that it entered public markets with approximately 473 million XRP and about $300 million in gross cash proceeds after completing its merger with Armada Acquisition Corp. II. Shares began trading on Nasdaq under XRPN on October 12.

Separately, an earlier SEC filing registered nearly 11.5 million shares issuable on exercise of public warrants at $11.50 each, which could bring in about $132.2 million if fully exercised for cash, according to a report carried by KuCoin News. That depends on holders choosing to exercise.

The same report says the equity financing has not started, as Evernorth must first obtain SEC effectiveness for the resale registration statement and meet other contractual requirements.
