@Mastercard has officially closed its acquisition of @BVNKFinance, the London-based stablecoin infrastructure firm, in a deal that ranks as the largest of its kind in the sector to date.

Deal Structure and Scale

Mastercard agreed to acquire BVNK for up to $1.8 billion, including $300 million in contingent payments. The deal was first announced in March, with the upfront consideration reported at $1.5 billion. The closing surpasses Stripe's $1.1 billion acquisition of Bridge as the biggest stablecoin infrastructure purchase on record.

Since its founding in 2021, BVNK has built deep expertise and industry-leading infrastructure to bridge fiat and stablecoins, with its platform enabling payments on all major blockchain networks across 130-plus countries.The company processes $30 billion in annualised stablecoin payment volume, representing 2.8 million transactions.

What Mastercard Gets

The acquisition expands Mastercard's strategy to support greater choice in how people and businesses exchange value by enabling interoperability across fiat and digital currencies. The payments giant plans to plug stablecoins directly into its network for cross-border payments, 24/7 settlement, and card spending.

Jorn Lambert, chief product officer at Mastercard, noted that stablecoins are increasingly addressing real-world needs in areas like cross-border B2B payments, remittances, payouts, settlement and treasury flows, adding that the next payments paradigm will be defined by how effectively each rail, network or form of money connects and works together.

While stablecoins remain less than 1% of the world's cross-border payments flows, the opportunity is significant, with FXC market sizing data estimating the base total addressable market to be around $17.9 trillion. For Mastercard, the BVNK deal positions it as a primary conduit for enterprises seeking to settle transactions on-chain without abandoning compatibility with traditional banking rails.

BVNK holds more than 25 regulatory licences across 130-plus markets, covering MiCA via Malta, all 50 US states, a UK and Malta EMI licence, and Spain VASP, alongside SOC 2 Type II and ISO 27001:2022 certifications. That regulatory footprint is widely considered one of the most valuable assets the company brings to the deal.
