Metaplanet is taking its Bitcoin treasury strategy into the U.S. capital markets. Its planned American subsidiary has already raised $2.3 million through its first financing.

Super League Enterprise has raised about $2.23 million through its first at-the-market (ATM) offering. This is shortly after Metaplanet announced plans last week to transform the Nasdaq-listed company into its U.S. Bitcoin treasury vehicle. Super League has also opened another $2.27 million in ATM capacity, potentially taking the total offering to roughly $4.5 million.

But for Metaplanet, the move is about more than raising a few million dollars.

Metaplanet Eyes US Opportunity With SuperLeague

Dylan LeClair, Managing Director of Bitcoin Strategy at Metaplanet, said in an interview that the company sees an opportunity to use the U.S. platform to access the fixed-income market while creating a bridge between the Japanese and U.S. capital markets.

LeClair said there is an opportunity for Metaplanet “to be at the centre of the Japan and U.S. capital markets,” highlighting the broader financial strategy behind the U.S. expansion.

That strategy is beginning to take shape through Super League, which Metaplanet plans to rename Superplanet once the transaction closes. The company is expected to trade under the ticker SUPA, with Metaplanet owning approximately 95.7% of its common stock.

Under the planned transaction, Metaplanet will contribute 2,100 BTC to Super League along with $2.5 million in cash. The Bitcoin contribution was valued at about $132 million when the deal was announced.

The move will give Metaplanet a second listed vehicle for its Bitcoin strategy, this time in the U.S.

LeClair said the vision is beginning to come into focus, with Superplanet expected to operate as a Bitcoin treasury company with a substantial balance sheet. This comes as Metaplanet continues expanding its Bitcoin position in Japan with recent acquistion of Siibo Securities.

The two businesses would effectively give the group exposure to both sides of the capital-market divide. Metaplanet can continue accessing Japan’s equity and debt markets, while Superplanet provides a Nasdaq-listed platform through which it can pursue opportunities in the U.S.

Expansion Beyond Just Holding Bitcoin

That matters because Metaplanet’s strategy is extending beyond simply accumulating Bitcoin.

The company has already been developing Bitcoin-backed fixed-income products in Japan, including its BitBonds initiative. Its planned U.S. structure could provide another route to raising capital against its Bitcoin holdings, including potential preferred-stock offerings.

The first ATM raise offers an early indication of how that strategy could work.

Super League sold 475,598 shares for approximately $2.23 million, according to its filing. Itsubsequently made another $2.27 million available under the ATM program.

For Metaplanet, the size of the first raise is less important than the market it is accessing.

The company is effectively beginning to test its U.S. capital-market strategy before the larger Superplanet transaction is completed.

LeClair also acknowledged that building a cross-border financial structure depends on counterparties and other market participants moving at the same pace. But with the transaction progressing, Metaplanet’s two-market approach is becoming clearer.

Once the deal closes, Metaplanet will have its Tokyo-listed Bitcoin treasury operation in Japan and a Nasdaq-listed Bitcoin treasury vehicle in the U.S.

The $2.3 million ATM raise may be a small first step. But it marks the beginning of Metaplanet’s attempt to connect its Bitcoin strategy across the JPY and USD capital markets.
