Nvidia-backed Nscale filed for a U.S. initial public offering on Sept. 18. The artificial intelligence infrastructure provider applied to list on the New York Stock Exchange under ticker NSCL.

The filing showed $103.4 billion in active and contracted total contract value. However, only $2.6 billion was active as of Aug. 31. That gap placed financing and project delivery at the center of the proposed NYSE IPO.

Nscale’s Securities and Exchange Commission filing showed $103.4 billion in active and contracted total contract value. That figure applied as of Aug. 31 and compared with $38 billion at the 2025 year-end.

Only $2.6 billion of that contract value was active, the filing showed. Nscale also reported about 461,000 graphics processing units active or contracted at August-end.

The company said approximately 25,000 GPUs were active across its infrastructure portfolio. That left most contracted computing capacity dependent on future construction, equipment delivery, and financing.

Nscale’s Sept. 18 announcement said Goldman Sachs, J.P. Morgan, and Morgan Stanley would lead the offering. The company had not determined the number of shares or the expected pricing range. The filing also identified Nscale as an emerging growth company. It planned to re-register as Nscale plc before completing the offering.

NVIDIA Financing Supports Nscale’s Expansion

Nvidia formed part of Nscale’s financing structure before the proposed listing. The SEC filing said Nscale signed a subscription agreement on Sept. 15 for at least $3.1 billion.

That financing included $2.1 billion of unsecured convertible loan notes. Nvidia agreed to provide another $1 billion through convertible notes or non-voting shares, depending on timing.

The Nvidia transaction was expected to close around Nov. 16, the filing said. Those securities would convert or settle under the IPO structure, in accordance with the terms described in the prospectus.

Nscale had previously raised $1.1 billion in a Series B round announced in September 2025. Its company statement listed Nvidia, Dell, Nokia, Fidelity, Point72, and other investors as participants.

Nvidia shares closed at $222.27 on Sept. 18, up 1.34%, Charles Schwab market data showed. The stock move occurred alongside broader gains across technology shares that session.

NYSE IPO Exposes Customer and Financing Concentration

Microsoft and Anthropic represented the largest disclosed commitments behind Nscale’s contract book. The company signed Microsoft agreements worth up to $43.8 billion through December 2033.

Nscale separately signed Anthropic service agreements on Aug. 25. Those contracts provided for aggregate payments of up to $44.6 billion, subject to delivery requirements.

Together, those maximum commitments equaled $88.4 billion. They represented roughly 85% of Nscale’s active and contracted total contract value.

The Anthropic agreements carried an additional financing condition. Nscale said it had no binding commitments for required project financing when the prospectus was filed.

The company planned to deploy Nvidia Vera Rubin NVL72 systems at its Monarch Compute Campus. The contracts allowed termination under specified circumstances if qualifying financing remained unavailable.

Microsoft’s deployment program covered approximately 200,000 Nvidia GB300 GPUs across Europe and the U.S. Nscale announced that program in October 2025, with Dell Technologies supporting infrastructure delivery.

NVIDIA Exposure Comes With Rising Losses

Nscale reported $140.6 million of revenue for the six months ended June 30. Revenue had totaled $10.4 million during the comparable 2025 period, the SEC filing showed.

Operating losses reached $492 million during the latest six-month period. Net losses widened to about $1.02 billion, partly reflecting fair-value adjustments tied to financing instruments.

Those figures showed that contract growth had outpaced recognized revenue. They also showed the capital burden attached to building data centers and acquiring advanced GPUs.

For the proposed NYSE IPO, the next confirmed milestone remains additional registration filings. Those filings should set the share count and expected price range. Separately, Nscale scheduled the Nvidia financing transaction around Nov. 16, subject to its stated terms.
