Shares of NVIDIA climbed 1.51% to reach $206.34 as the semiconductor leader revealed its expanded investment in Nebius through a substantial $2 billion financing arrangement. The stock maintained support above the $205.32 level following a brief dip toward $204.20 during Monday’s trading activity. NVIDIA’s regulatory filing detailed a 9.3% beneficial ownership stake in Nebius Group acquired through common shares and a significant pre-funded warrant.
NVIDIA documented beneficial ownership of 22,256,412 Class A ordinary shares of Nebius in a Schedule 13G submission filed with regulators on Monday. The documentation specified July 13 as the triggering event date requiring comprehensive ownership reporting. NVIDIA indicated it possesses sole voting authority and sole dispositive control over the complete reported stake, with no shared ownership arrangements.
The aggregate position encompasses 1,190,476 directly held shares plus 21,065,936 shares associated with a pre-funded warrant instrument. NVIDIA obtained the warrant directly from Nebius on March 11 as part of a substantial private placement offering. Securities regulations require inclusion of those warrant-linked shares since NVIDIA possesses the ability to acquire them within a 60-day window from the July 13 triggering event.
Nevertheless, contractual provisions prevent NVIDIA from converting the warrant or disposing of the associated shares prior to September 11. The warrant features a nominal exercise price of $0.0001 per share and includes standard contractual adjustment mechanisms. Nebius retains flexibility to fulfill the warrant through either existing treasury stock or through issuance of new Class A ordinary shares.
Nebius to Deploy $2 Billion Toward Infrastructure Growth
Nebius secured approximately $2 billion in total proceeds through the private placement transaction linked to NVIDIA’s warrant acquisition. The cloud platform provider intends to allocate the capital toward developing its comprehensive AI cloud ecosystem and constructing new greenfield data center facilities. The financing package also reinforces a strategic collaboration centered on hyperscale cloud infrastructure tailored for AI-focused enterprises and large corporate clients.
NVIDIA submitted Schedule 13G rather than Schedule 13D documentation because the company characterized its ownership position as passive in nature. The filing verified that NVIDIA did not purchase the securities with intentions to alter or affect corporate control of Nebius. The regulatory disclosure also identified NVIDIA as the sole reporting entity and confirmed no related ownership coalition currently exists.
Nebius maintains an Amsterdam headquarters and delivers a cloud platform encompassing model training capabilities, infrastructure orchestration, and production deployment services for enterprise clients. The March transaction agreement prohibits warrant sales and underlying equity dispositions for a six-month period absent prior written consent from Nebius. The disclosure and accompanying financing transaction strengthen NVIDIA’s strategic relationship with Nebius while broadening infrastructure capacity for enterprise-scale cloud computing operations.
