Broadridge Financial Solutions has announced it will provide onchain governance infrastructure for the New York Stock Exchange’s upcoming tokenized securities platform. The company, known for operating the ProxyVote shareholder voting system, plans to integrate blockchain technology to streamline shareholder participation and corporate action processes.

Onchain Voting Integration

Under the new arrangement, token holders will have the ability to vote directly from a supported wallet, through their broker, or on ProxyVote. Broadridge’s approach employs smart contracts to connect each tokenized share with its respective meeting agenda and voting procedures. All voting results will be recorded in an immutable and transparent manner, while proxy materials are to be distributed digitally.

As part of the system, each digital wallet will be matched with its holder’s voting entitlement, ensuring accurate representation in decision-making. This integration aims to improve both efficiency and transparency for shareholders participating in corporate governance.

Each share, when tokenized, will be linked to its relevant meeting agendas and voting rights via Broadridge’s smart contracts, allowing results to be validated and proxy information to be delivered electronically.

Broadridge’s Expanded Role

Beyond governance, Broadridge will act as the digital transfer agent for companies listing on the NYSE’s tokenized venue. The role allows corporations to tokenize their shares for trading within the new digital ecosystem. CEO Tim Gokey has stated that the company currently processes more than $360 billion in assets every day, reflecting the scale of its operations.

Broadridge, a leading global fintech solutions provider, has continued to broaden its blockchain footprint outside the NYSE. In May, the company was chosen to manage Galaxy’s onchain shareholder vote and has reached similar agreements with Ondo and Payward’s xStocks platforms.

NYSE’s Tokenized Securities Platform

The New York Stock Exchange, the world’s largest equities platform, first revealed its tokenized securities project in January. The new venue intends to combine the exchange’s proprietary Pillar matching engine with onchain post-trade systems. This could enable settlement on multiple blockchains and provide 24/7 trading with instant settlement.

Investors will be able to fund their trades using stablecoins, size their orders in US dollars, and benefit from real-time trade finalization. In March, NYSE signed a memorandum of understanding with Securitize, a digital asset platform, making Securitize the first digital transfer agent eligible to mint blockchain-native securities on the exchange’s new venue.

Pairs of advanced matching technology and onchain settlement are designed to provide investors with access to trading digital assets at any time while supporting secure and rapid transaction finality.

The initiative forms part of a broader industry trend integrating blockchain technology into traditional financial markets to enhance transparency, efficiency, and access.
