Ripple has publicly supported the U.S. Securities and Exchange Commission’s (SEC) proposed regulatory framework for digital assets, emphasizing that the prevailing climate of regulatory uncertainty is driving innovation in the cryptocurrency industry abroad. The blockchain company remains a vocal advocate for clear regulatory policies in the United States.

Ripple’s Call for Clear Regulations

On October 20, Ripple submitted a comment letter to the SEC urging the adoption of the proposed framework. Ripple argues that the current enforcement-driven approach fails to provide a sustainable solution for the industry. A more transparent regulatory environment is needed to clarify which rules apply to different companies and projects in the crypto market.

Stuart Alderoty, Ripple’s Chief Legal Officer, announced the company’s supportive stance on social media platform X.

“Ripple supports this proposed regulation, which SEC already has the legal authority to implement,” Alderoty stated.

Proposal Highlights Conditional Exemptions

The SEC’s proposal, unveiled in August, introduces two key exemptions to securities registration rules. Certain crypto projects could be allowed to raise up to $5 million over four years, while another exemption could enable yearly fundraisings up to $75 million. These provisions aim to create more accommodating conditions for emerging digital projects.

Additionally, the proposal suggests a conditional safe harbor for digital assets that no longer qualify as investment contracts. This framework seeks to distinguish between the initial sale of a crypto asset and its subsequent legal status, which could provide more clarity to issuers navigating regulatory requirements.

Addressing Howey Test and Decentralization Concerns

A pivotal point in Ripple’s submission is the distinction between a crypto asset itself and the investment contract under which it is sold. Ripple argues that digital assets should not be indefinitely classified as securities. Rather, each asset’s status should be assessed based on the terms and manner of its sale in relation to investment contracts.

Alderoty also noted that the proposed regulations align with the framework established by the U.S. Supreme Court’s historical Howey decision. In this context, the commitments made by an issuer at the time of sale are more crucial than the asset’s inherent qualities. Once these commitments expire, certain regulatory obligations may also cease to exist.

Ripple maintains that the legal status of a crypto asset should not be immutable, but rather should hinge on how the sale is conducted within the context of an investment contract.

Ripple also voiced strong opposition to decentralization being the primary criterion for determining whether a crypto asset is a security. According to the company, this approach does not provide a sufficiently robust or coherent legal foundation for regulatory decisions.
