The U.S. Securities and Exchange Commission has suspended Nasdaq's approval to list cash-settled Bitcoin index options while the full Commission reviews a jurisdictional challenge from CME Group.
A Regulatory Turf War Over Bitcoin Derivatives
Back in May, the SEC granted Nasdaq PHLX conditional approval to list cash-settled Bitcoin index options under the ticker QBTC.The product still required exemptions from the Commodity Futures Trading Commission (CFTC) before it could launch.
CME filed a formal challenge in mid-June, arguing that because Bitcoin is legally treated as a commodity, any options tied to its value should fall under the CFTC's exclusive authority rather than the SEC's.In a July 29 order, the SEC granted CME's petition for review and kept the approval stayed while the full Commission considers the challenge.
CME already operates regulated Bitcoin futures and options markets, while Nasdaq's QBTC would compete for the same trading activity without Nasdaq registering under the CFTC framework that governs CME.The QBTC options use the same underlying benchmark, the CME CF Bitcoin Real Time Index, that powers CME's own products. CME is essentially arguing that Nasdaq is using its index to build a product that belongs in CME's regulatory sandbox, not the SEC's.
Broader Implications and What Comes Next
CME warned that allowing the structure could set a precedent extending beyond Bitcoin. Other SEC-regulated securities exchanges could seek permission to list options based directly on commodities while relying on exemptions rather than registering as futures venues, potentially weakening the regulatory boundary between securities options and commodity derivatives.
The SEC's order does not indicate whether the commissioners agree with CME's arguments.Nasdaq could ultimately be forced to register the product with the CFTC instead, which would mean navigating an entirely different regulatory framework and likely pushing back the launch timeline significantly.
The agency has invited interested parties to submit statements supporting or opposing the decision by August 24.
