The U.S. Securities and Exchange Commission (@SECGov) has scheduled an open meeting for Friday, August 14, at 10:00 a.m. Eastern, with a single item on the agenda: whether to propose new rules creating a dedicated offering framework for certain investment contracts involving crypto assets.

What Commissioners Will Consider

The proposal, informally referred to as "Regulation Crypto," would establish a tailored offering regime under the Securities Act for investment contracts that involve crypto assets. If approved, it would replace existing staff guidance and policy statements with more permanent regulations, giving token issuers a clearer legal path to raise capital without automatically triggering full SEC registration requirements.

Friday's vote is a procedural step, not a final ruling. Commissioners will decide only whether to publish the proposal and open it to public comment. Any final rule would require a separate vote after the comment period, which typically runs two to three months, making a compliance deadline realistically a 2027 matter.

The meeting marks the first formal crypto rulemaking of Chairman Paul Atkins' tenure. Atkins has previously outlined several possible pathways under such a framework, including exemptions for early-stage projects and larger fundraising rounds, as well as an "investment contract safe harbor" that could give issuers clearer rules on when securities law stops applying to certain token arrangements. The three-member, all-Republican commission is expected to approve moving the proposal to public comment. The meeting will be webcast live on sec.gov.

SEC Moves as Congress Stalls

The timing is notable. The Senate declined to hold a pre-recess vote on the Digital Asset Market CLARITY Act, with a possible procedural vote now pushed to September 15. Analysts at TD Cowen have described the SEC's move as the first in a series of rulemakings the agency is prepared to run in parallel with, or in place of, congressional action. For markets, the regulatory signal may matter as much as the eventual timeline.
