The U.S. Senate’s failure to advance the Digital Asset Market CLARITY Act has raised the question of what regulatory certainty could look like if comprehensive legislation fails.

Against that backdrop, crypto enthusiast EllioTrades asked Grok whether clear rules from the Securities and Exchange Commission (SEC) and Commodity Futures Trading Commission (CFTC) could legally protect companies operating under the rules.

EllioTrades asked Grok whether clear SEC and CFTC “rules of the road” for crypto would provide a solid legal defense for a U.S. crypto firm if future administrations appointed officials with a less favorable approach to the industry.

Grok responded that clearly defined SEC and CFTC rules would establish a compliance path for companies. It said firms that strictly followed those rules could have a strong defense by demonstrating that their operations complied with the regulatory framework in effect at the time.

The exchange comes on the same day that the Senate failed to advance the CLARITY Act. Senators voted 49-50 on the procedural motion, falling short of the 60 votes required to invoke cloture and move the legislation forward.

Grok Explains the Limits of Agency Rules

Grok also qualified its response by noting that SEC and CFTC rules would not provide permanent protection. According to the AI, agencies could revise or rescind their rules through the appropriate administrative process, while Congress could establish different requirements through new legislation.

EllioTrades then narrowed the question, asking whether companies that complied with the rules would remain legally defensible if a future administration took a more hostile approach toward crypto.

Grok answered yes, stating that operations conducted under clear SEC and CFTC rules at the time would remain legally defensible. It characterized compliance with the applicable framework as a strong safe-harbor defense against later claims.

Grok further said a future administration could change the regulatory approach prospectively through the proper process. However, it said retroactive punishment for conduct that complied with the rules at the time could face due-process and retroactivity limitations.

CLARITY Act Failure Puts Greater Focus on Regulators

The exchange takes place as lawmakers face renewed uncertainty over comprehensive crypto market-structure legislation. The CLARITY Act was designed to establish federal rules governing digital assets, including regulatory responsibilities across the SEC and CFTC. The Senate’s procedural vote failed after disagreements remained over issues including ethics requirements and stablecoin-related provisions.

The failed vote has also shifted attention toward what federal agencies can accomplish without a new congressional statute. Reporting on Tuesday noted that agency rulemaking could provide regulatory direction, although rules designed by regulators can generally be changed by future administrations, unlike statutory requirements enacted by Congress.
