Key takeaways

  • Vanguard ETF reportedly discloses $7.5 million Metaplanet position
  • Metaplanet shares decline despite renewed institutional attention
  • Passive index holdings do not establish direct Bitcoin purchases

Vanguard's international small-cap ETF has reportedly disclosed a $7.5 million stake in Japanese Bitcoin treasury company Metaplanet, adding another traditional investment fund to the growing list of institutions holding shares in Bitcoin-focused companies.

The Vanguard FTSE All-World ex-US Small-Cap ETF (VSS) holds approximately 4.5 million Metaplanet shares, according to an October 26 disclosure highlighted by Bitcoin Treasuries and subsequently reported by crypto.news. However, Metaplanet stock closed Monday at ¥263, down 0.75%, despite the attention surrounding Vanguard's reported position.

The contrast raises a question: if one of the world's largest asset managers owns shares in a Bitcoin treasury company, why isn't the stock rising?

Why Vanguard's Bitcoin Exposure Is Different From Buying BTC

The reported holding represents the first disclosed Metaplanet position for VSS, which tracks a broad international small-cap equity index.

Unlike an actively managed fund choosing companies based on individual investment convictions, VSS primarily follows benchmark rules. That means a company can enter its portfolio because of index eligibility, rather than a deliberate bet on its underlying business strategy.

Vanguard's official fund documentation describes VSS as a passively managed investment product covering thousands of international stocks.

Consequently, its reported Metaplanet holding should not automatically be interpreted as an endorsement of Bitcoin or the company's treasury strategy.

Other Vanguard products have previously been linked to Metaplanet. Its Total International Stock Index Fund reportedly held 15.64 million shares valued at approximately $53.5 million, while a Japan-focused fund was reported to own another 704,500 shares.

The distinction matters because Bitcoin treasury companies face changing index eligibility rules, potentially affecting which passive funds hold their shares.

Metaplanet Stock Falls Despite Its 44,000 Bitcoin Treasury

Metaplanet held 44,000 BTC as of September 30, following a third-quarter transaction in which it sold 10,000 Bitcoin and repurchased 11,000, increasing its reserves by a net 1,000 BTC.

Its latest treasury expansion occurred during a difficult period for companies accumulating Bitcoin through equity issuance and borrowing.

Metaplanet's share price has faced pressure even as its Bitcoin holdings increased. Investors must evaluate not only the cryptocurrency's value but also the company's capital structure, outstanding shares and financial obligations.

That explains why Bitcoin treasury stocks can decline despite holding substantial Bitcoin reserves.

One closely watched measure is mNAV, which compares a company's market valuation with the value of its Bitcoin holdings. Depending on the calculation, a discount may reflect debt, dilution risks or reduced expectations for future treasury growth.

Metaplanet has previously faced financing pressure when falling share prices made issuing additional equity less attractive.

Can Institutional Ownership Reverse Metaplanet's Weakness?

The reported Vanguard stake is relatively modest compared with VSS's multibillion-dollar portfolio. A $7.5 million position represents less than 0.1% of the ETF's approximately $12 billion in assets.

It also does not establish when the shares were purchased or whether Vanguard recently increased its position.

Meanwhile, Metaplanet has pursued share repurchases and alternative financing arrangements as its stock valuation came under pressure.

The company's challenge reflects a broader treasury-stock valuation problem: holding more Bitcoin does not automatically create more value for each existing shareholder.
