Fines Take Effect Before Any Exchange Is Licensed

Vietnam's crypto regulatory regime moves into enforcement mode on September 1, with new penalties now applicable to investors and service providers operating outside the country's licensed framework. The rules stem from Decree No. 284/2026/ND-CP, issued in July 2026, which introduces administrative fines of 30 million to 50 million VND (roughly $1,140 to $1,900) for domestic investors caught using unlicensed trading platforms. Organisations providing unlicensed crypto services face steeper penalties, with fines ranging from 180 million to 200 million VND.

The enforcement push adds teeth to a broader five-year pilot launched under Government Resolution No. 05/2025/NQ-CP, signed in September 2025, which established Vietnam's first formal licensing regime for cryptocurrency exchange services. The pilot runs through 2030 and sits alongside Vietnam's wider ambition to grow its digital economy significantly over the same period.

There is, however, an important distinction for retail investors. The six-month transition period requiring domestic traders to conduct covered transactions exclusively through licensed providers does not start until the Ministry of Finance approves the first crypto asset service provider. Since no exchange has received a full operating license yet, that countdown has not formally begun.

Five Applicants Clear First Hurdle, But Licensing Bar Remains High

Five companies have passed an initial assessment toward becoming licensed crypto exchanges, according to a disclosure made at the Vietnam RWA Summit 2026 by an official from the country's Digital Asset Trading Market Board. The firms identified are VIX Crypto Assets Exchange JSC, Loc Phat Vietnam Crypto Assets Exchange, Vietnam Prosperity Crypto Assets Exchange, Techcom Crypto Assets Exchange, and Vietnam Digital Assets JSC. Notably, the group includes three bank-affiliated firms, one stockbroker, and one major conglomerate, with no crypto-native companies among them.

Clearing the initial assessment does not guarantee a license. Each applicant must still satisfy Level 4 information-system security requirements and hold a minimum of 10 trillion VND (approximately $383 million) in charter capital, with at least 65% of that amount coming from institutional shareholders. Foreign ownership in any licensed exchange is capped at 49%.

The framework also restricts the type of assets that can be traded. Every tokenized asset on a licensed platform must be backed by a real-world asset and issued by a Vietnamese entity, with securities and fiat-backed tokens explicitly excluded. All settlements must be conducted in Vietnamese dong. Authorities have not confirmed a timeline for final licensing decisions, but operations could begin as early as the third quarter once approvals are granted, with foreign investors receiving market access first before domestic retail participation is permitted.

Vietnam currently ranks among the top seven countries globally in crypto adoption, with an estimated 17 million holders, making the outcome of this licensing process consequential for one of Southeast Asia's most active digital asset markets.
