  • American Bitcoin Corp’s bitcoin holdings grew from approximately 8,002 to 8,427 BTC during the third quarter, a 5% increase driven entirely by mining rather than open-market purchases
  • The company reported net income of $126 million for the quarter, reversing a $57.2 million net loss in the prior quarter, aided by a $197.3 million gain on digital assets
  • Approximately 3,090 BTC remain pledged to Bitmain as collateral for miner purchases, and the company made no new bitcoin purchases or at-the-market share issuances during the quarter

American Bitcoin Corp filed its third-quarter 2026 results with the SEC on November 4, 2026, reporting the company’s first profitable quarter since going public. Net income came in at $126 million, a sharp reversal from the $57.2 million net loss posted in the second quarter, driven in large part by a $197.3 million gain on the fair value of the company’s digital asset holdings as bitcoin’s price moved favorably over the period.

The company’s bitcoin treasury grew from roughly 8,002 BTC to 8,427 BTC during the quarter, a 5% increase. Notably, the entire increase came from the company’s own mining operations rather than from any open-market bitcoin purchases or capital raised through at-the-market share sales, both of which the filing confirms did not occur during the quarter. The company mined 891 BTC in the third quarter, down somewhat from 932 BTC mined in the second quarter.

A metric the company highlights in its filing, satoshis per share, rose approximately 5% during the quarter to 11,572, reflecting the growth in bitcoin holdings relative to the company’s outstanding share count following a 1-for-15 reverse stock split that took effect July 2, 2026. The reverse split consolidated the company’s share structure without affecting the underlying value of existing holdings.

The filing also discloses that approximately 3,090 BTC remain pledged as collateral to Bitmain, the mining-hardware manufacturer, under an arrangement tied to the company’s purchases of mining equipment. That pledge represents a meaningful portion of the company’s total holdings committed as collateral rather than held freely on the balance sheet, a structure that lets the company finance new mining hardware without immediately selling bitcoin or raising fresh equity.

American Bitcoin Corp’s shift to profitability, paired with growth driven purely by mining output rather than fresh capital deployment, distinguishes its results this quarter from the pattern seen at many bitcoin treasury companies that rely primarily on share issuance to fund purchases. The full earnings exhibit is available on SEC EDGAR.
