Cipher Digital, the bitcoin mining and high-performance computing company, filed its third-quarter 2026 results with the SEC on November 2, 2026, reporting a sharp turnaround from the prior quarter. The company posted net income of $31.6 million for the three months ended September 30, 2026, reversing a net loss of $267.5 million in the second quarter. Total revenue for the quarter came to $26.7 million, split between $20.8 million from bitcoin mining and $5.9 million from leasing out high-performance computing capacity.
Alongside the earnings, Cipher Digital disclosed a new $850 million offering of zero-coupon convertible notes due in November 2032, priced at a 35% conversion premium with a base conversion price of $15.31 per share, capped at $28.35 per share through an accompanying capped call transaction designed to limit shareholder dilution. The company used the offering to simultaneously retire $165.9 million of its existing 2030 convertible notes by converting them into equity, streamlining its debt structure while raising fresh capital.
The company says proceeds from the new notes will go toward completing the development of Barber Lake, one of its AI-focused data center projects, and toward supporting future growth more broadly. As of September 30, 2026, Cipher Digital carried $6.7 billion in total debt and $3.1 billion in net debt, with $724 million in unrestricted cash on a pro forma basis after accounting for the new notes.
The filing’s most significant operational update concerns an amendment to the Barber Lake lease itself, which added a new 10-year term with an unnamed but, per the company’s description, highly rated major AI lab. That amendment pushed the facility’s total contracted revenue to $9.1 billion, with the lease amendment alone contributing roughly $5.2 billion of incremental contracted revenue. The facility’s gross capacity stands at 300 megawatts, and Cipher Digital projects average annual net operating income of $411 million from the site once built out, with potential for a further roughly $500 million of additional revenue depending on how construction costs and lease terms finalize.
The combination of a return to profitability, fresh long-term financing, and an expanded AI infrastructure lease illustrates how significantly bitcoin mining companies have diversified their business models to include large-scale computing infrastructure for artificial intelligence workloads. The full investor presentation is filed as an exhibit on SEC EDGAR.
