Metaplanet has resolved to raise ¥52 billion through a fresh bond issuance, and the capital is not headed toward Bitcoin. The Japanese investment firm is using the proceeds to unwind costly secured debt and buy back its own shares, a structural financing move that reframes how the company manages its balance sheet.
On October 13, 2026, Metaplanet’s board resolved to issue ¥52,000,000,000 aggregate principal amount of zero-coupon Euro-Yen convertible bonds with stock acquisition rights, due 2031. The bonds carry a 0% coupon, meaning investors receive no periodic interest payments, with the expected closing date set for October 29, 2026. Zero-coupon bond issue ¥52 billion Aggregate principal amount of Metaplanet’s Euro-Yen convertible bonds due 2031.The offering is structured as an overseas issuance aimed primarily at European and Asian investors, excluding the United States. The bonds are not registered under the U.S. Securities Act and are intended for listing on the Singapore Exchange (SGX-ST). No public offering or secondary distribution will be made in Japan. This is a significant escalation in Metaplanet’s capital markets activity. Earlier this year the company raised ¥8 billion in zero-interest bonds and has repeatedly tapped debt markets to fund its Bitcoin strategy, but the ¥52 billion raise dwarfs those prior efforts in both scale and stated intent.
Of the approximately ¥51.9 billion in expected net proceeds, Metaplanet has earmarked about ¥23.6 billion for repayment of existing borrowings and up to about ¥28.3 billion for repurchasing its own shares.
Expected net-proceeds allocation ¥23.6B Debt repayment Up to ¥28.3B Share repurchases Allocation from approximately ¥51.9 billion of expected net proceeds. The debt being repaid is not ordinary corporate borrowing. Metaplanet reported approximately US$649.5 million outstanding under a Bitcoin-collateralized credit facility as of September 30, 2026, against a maximum facility size of US$800 million. That facility carries interest charges, meaning Metaplanet is replacing expensive, Bitcoin-backed secured debt with unsecured, five-year, zero-coupon financing.
The share repurchase arm of the program is equally aggressive. Metaplanet’s supplementary materials disclosed a new buyback program of up to ¥60.0 billion and 200 million shares, running from October 14, 2026 through October 13, 2027. The ToSTNeT-3 method will be used for repurchases, a Tokyo Stock Exchange mechanism that allows off-hours block trades at the closing price.
The company has been actively managing its equity structure in recent months, having also cut remaining executive options by 55.5% as part of broader capital discipline measures.
Metaplanet was explicit about what this transaction is not. The company stated directly that the bond raise is not intended to immediately reduce total liabilities or the debt ratio. The purpose is a structural swap: trading interest-bearing, Bitcoin-collateralized borrowings for unsecured, long-term, zero-cost funding.
The leverage context makes clear why the swap matters. The ratio of outstanding Bitcoin-collateralized borrowings to Bitcoin net asset value stood at approximately 17.7% as of September 30, 2026, well above Metaplanet’s own below-10% guideline. Removing secured debt reduces the company’s exposure to Bitcoin price volatility triggering margin pressure on its facility.
Metaplanet held 44,000 BTC at the end of September 2026, having recently crossed the 43,000 BTC mark. The company confirmed this financing is not itself intended to immediately increase BTC per share, a direct correction to the narrative that every Metaplanet capital raise automatically translates into Bitcoin accumulation.
The share buyback component sharpens the picture further. Retiring shares while holding a fixed Bitcoin reserve mathematically increases Bitcoin exposure per remaining share, even without purchasing additional BTC. That is arguably the more capital-efficient route to improving the metric investors watch most closely.
With a ¥60 billion buyback program authorized and a five-year zero-coupon funding structure in place, Metaplanet is betting that the cost of unsecured convertible debt, measured in future dilution at conversion, is cheaper than the ongoing carry cost of its Bitcoin-collateralized facility. Whether the bond converts at a premium or forces dilution in 2031 depends entirely on where Metaplanet’s share price lands by then.
