Per anofficial SEC filing from Evernorth Holdings, the company entered into a note purchase agreement on September 11 with NH Investment & Securities Co., acting as trustee for Kyobo AIM Corporate Finance General Private Investment Trust No. 3, a Korean institutional entity. 

The deal:

  • Issues $30 million in 4.00% Convertible Senior PIK Notes due 2031

  • Closing is conditioned on Evernorth's pending business combination with Armada Acquisition Corp. II, expected in Q4 2026

  • Proceeds are earmarked for "general corporate purposes, including the acquisition of XRP and other activities within the XRP ecosystem."

  • Notes convert into Evernorth Class A common stock at roughly $10.20 per share

Evernorth plans to list on Nasdaq under the ticker $XRPN once its business combination closes, positioning itself as a publicly traded XRP treasury vehicle.

What Evernorth's Leadership Is Saying

Beyond the funding news, Evernorth's own leadership has been actively shaping the narrative around what makes XRP durable. 

In a company post, founder and CEO Asheesh Birla argued that XRP's most underrated strength isn't technical speed or low fees, but its community, a constituency he says has held together for a decade in a way no competing ledger can simply replicate. 

Separately, Evernorth has also announced a collaboration with BearChamp, an XRP community character created by Chicago artist JCRivera, tying apparel and storytelling into its public-facing brand ahead of the planned Nasdaq listing.
