The SEC has approved new Cboe rules allowing binary options contracts tied to the business metrics of Coinbase and Bitcoin miner MARA Holdings, marking one of the first times regulators have greenlighted derivatives that settle against a public crypto company’s financial performance rather than a token price.

The approval, filed under SR-CBOE-2026-061, covers binary options contracts that resolve based on defined business metrics for both companies. Unlike conventional equity options, binary contracts pay out a fixed amount or nothing at all, depending solely on whether the underlying metric clears a set threshold at expiry. For related coverage, see Russia Approves Sberbank Crypto Custody for Bitcoin, Ethereum and USDT.

This is not a stock price bet. The contracts are structured around corporate metrics, meaning traders are wagering on reported business performance figures rather than where shares trade on a given day. For related coverage, see UBS Forecasts Two More Fed Rate Hikes in 2026 and 2027.

What “business metric” binary options actually mean

A binary option tied to a business metric resolves when a company publishes a specific figure, such as revenue or trading volume, that either exceeds or falls short of the contract’s strike condition. If the condition is met at expiry, the contract pays its full settlement value. If not, it expires worthless. For related coverage, see Ethereum ETFs Lose $320M in a Week as Bitcoin Outflows Slow.

For Coinbase, a platform where trading volume swings sharply with crypto market cycles, and for MARA, whose revenues are driven by Bitcoin mining output and Bitcoin’s spot price, the underlying metrics can move dramatically within a single quarter. That volatility makes binary structures particularly high-stakes: there is no partial payout and no gradual profit or loss curve.

The Cboe filing governs how these contracts are listed, margined, and settled, giving the exchange a formal regulatory framework to operate them under SEC oversight.

Expiry, settlement, and what happens when the numbers change

Settlement follows expiry under the approved rules, meaning the contract resolves once the relevant metric is officially reported. The settlement is designed to hold even if the underlying metric is subsequently restated, according to reporting on the filing. In other words, a settled contract stays settled, regardless of whether Coinbase or MARA later revises the figure that triggered it.

That restatement policy matters more than it might seem. Public companies do revise earnings and operational metrics, sometimes significantly, after initial reports. Without a clear rule, a post-settlement restatement could create a legal dispute over whether the original payout was valid. The approved framework addresses that ambiguity directly.

The SEC’s willingness to greenlight these contracts follows its recent pattern of approving novel crypto-linked derivatives structures. The regulator earlier approved 3x leveraged Bitcoin and Ether ETPs for listing, signaling an ongoing shift toward accommodating structured crypto exposure products.

Binary options on company metrics sit at an unusual intersection: they are equity-adjacent derivatives but their primary reference companies are central to the crypto economy. Coinbase is the dominant US crypto exchange, and MARA is one of the largest publicly traded Bitcoin miners. A contract that settles against their reported revenue or production figures is effectively a structured bet on the health of core crypto industry infrastructure.

What happens at the first expiry cycle will be closely watched. Will traders use these to hedge crypto industry exposure, or will the contracts attract purely speculative flow chasing volatility in two names already known for outsized earnings swings?
